1. Purpose and scope
These terms of sale (“Terms”) govern the career guidance, education, training, coaching and mentoring services offered by Navalior Education, a subsidiary of Navalior Group, 4 impasse des Chalets, 69007 Lyon, France ([legal form, company number and VAT number to be completed]). [Training provider registration number, if applicable].
They apply to every order placed by an individual, a company or an organisation (the “Client”). Placing an order implies full acceptance of these Terms, which prevail over any Client document unless otherwise agreed in writing.
2. Pre-contractual information
Before any order, the Client receives the key information on the service: objectives, content, duration, delivery format (in person, remote, e-learning), prerequisites, price, trainers and assessment methods. This information appears on the service page, in the commercial proposal or in the training agreement.
3. Order and formation of the contract
The contract is formed when the Client signs the quote, agreement or training contract, or confirms the online order together with payment where payment is required at registration. Navalior Education confirms registration by email.
4. Prices and payment
Prices are stated in euros. They include taxes for individuals and exclude taxes for business clients; applicable VAT is shown on the quote. [Payment terms: deposit, instalments, payment deadline — to be confirmed]. Late payment by a business client triggers late-payment interest at three times the legal interest rate and a fixed recovery fee of €40, due automatically.
5. Funding
Where training is funded by a third party (skills fund, employer, public body), the Client remains liable for payment if funding is refused or not granted. Funding approval must be obtained before the training starts.
6. Right of withdrawal
Consumers. For a contract concluded at a distance or away from premises, the consumer may withdraw within 14 days of concluding the contract without giving a reason (French Consumer Code, articles L.221-18 et seq.). If the service starts before the end of that period at the consumer's express request, the consumer pays for the part already delivered.
Vocational training paid for by an individual. For a training contract concluded with an individual at their own expense, the withdrawal period is 10 days from signature, notified by registered letter with acknowledgement of receipt (French Labour Code, article L.6353-5). No payment may be demanded before this period expires, other than any deposit allowed by law.
The applicable period is stated in the contract or agreement. To exercise this right, write to contact@navalior.com.
7. Cancellation, rescheduling and absence
[To be confirmed: free rescheduling or cancellation up to 48 hours before the session; after that, the session is payable]. If a session cannot be delivered (trainer illness, force majeure), Navalior Education offers a new date or refunds the undelivered portion. A training interrupted for duly justified force majeure is invoiced only pro rata to the services actually delivered.
8. Obligations of the parties
Navalior Education undertakes to use the necessary means to deliver the service properly; it owes an obligation of means, not of result, in particular regarding guidance, career outcomes, or obtaining a degree, a job or a certification. The Client undertakes to provide the necessary information, to take part diligently and to comply with the training rules.
9. Intellectual property
Teaching materials, methods and content remain the property of Navalior Education or its authors. They are licensed to the Client for personal or internal use only. Any reproduction, distribution or commercial use without written permission is prohibited.
10. Personal data
Personal data is processed in accordance with our privacy policy.
11. Complaints and mediation
Complaints may be sent to contact@navalior.com following the procedure described on the Complaints and mediation page. Consumers may use a consumer mediator free of charge if a dispute remains unresolved.
12. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code. Performance is suspended for the duration of the event.
13. Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute not resolved amicably, French courts have jurisdiction. For consumers living in another country, this applies without prejudice to the mandatory consumer-protection rules of their country of residence; business clients remain subject to the courts of Lyon.
